Use your time to find greater access to capital and access to deals and rely on LGA for the rest.
Audit & Assurance Services
The balance sheet complexities associated with private equity funds and their related portfolio companies require an assurance and attest team with the right combination of depth and breadth to effectively service your needs. LGA’s Private Equity team has both 40 years of working with owner managed businesses and national and regional CPA firm assurance and attest experience which allow us to deliver timely, quality financial statements to you under a client centric service model. We approach these audits from a risk-based perspective, while maintaining a focus on pragmatism, which is achievable because your engagement team includes decision makers so you’re never left waiting for HQ to reply to a request. Experience the LGA way and the difference will be apparent to your internal financial team, as well as those charged with governance.
Business Valuation Services
Reliable valuation reports are an essential element to issuing meaningful and appropriately presented financial statements. Whether you are looking for an independent CPA firm to prepare business valuations for the funds and their related portfolio companies to provide to outside auditors or want a firm with assurance and attest experience to evaluate the externally prepared business valuations, LGA has the team to meet your needs. We’ll take the time to understand the unique aspects of your funds and their related portfolio companies to arrive at a valuation that is appropriate and makes sense. In this way, we eliminate the frustration of what often becomes a commoditized process.
Business Tax Services
Special profit and loss allocations, carried interest and preferential liquidating distributions are just a few of the areas that are often reported inaccurately on tax filings for private equity funds and the related portfolio companies. At LGA, we’ve got you covered. We have been servicing clients with complex operating agreements and related provisions for decades, and we know what to look for to ensure that the related tax compliance properly reflects these provisions. Tax minimization is always a priority to ensure that the funds are available for future investment. We are committed to keeping current with the ever-changing tax landscape, and to providing proactive and timely communications about regulatory changes to ensure that the decisions that you are making along the way are well informed. Sustainable Accounting Services
LGA’s private equity team includes one of only a few people in Massachusetts to hold the two-level certification of FSA (Fundamentals of Sustainability Accounting). As investors increasingly want to “vote with their wallets” and express their values through their investments, metrics like environmental, social, and governance frameworks will be considered in addition to the traditional financial statement metrics when deciding which fund to choose. LGA can help you communicate your fund’s sustainability quotient with Sustainable Accounting Standards Board (SASB) and other standards.
Outsourced Management Accounting Services
Looking to offload the funds’ day to day accounting or strengthen certain aspects of the financial reporting team for either the funds or the related portfolio companies? LGA provides customizable and scalable outsourced accounting services that range from fundamental accounting tasks to outsourced Controller and CFO level services. Outsourcing this function allows you and your team to focus on what really matters, which is driving financial results and continued performance improvement for the funds and related portfolio companies. In addition, LGA’s involvement can also assist with providing an added layer of internal controls, providing for the segregation of duties that is often not achievable when the work is performed in-house by a smaller finance team. Work with a provider that leverages experienced auditors and CPA’s who ensure the accuracy of the financial information produced, while delivering the information in a timely fashion.
Transaction Advisory Services
LGA’s transaction advisory team can assist private equity funds with acquisition due diligence of target companies and related quality of earnings analyses. Our team has been working with private equity fund target companies for 40 years so we have the insight to flush out the problem areas that will either result in purchase price adjustments, working capital target revisions or potentially even lead to walking away from a problem deal. We can also serve as a key advisor on the sell side, assisting with tax efficient deal structuring or assisting management with the preparation for a sale. Whether it’s buy side or sell side support, you will be assured of the dedication of a team of professionals that will be responsive to the unpredictable demands associated with M&A transactions.
